Hi, I'm a Business, Employment and Entertainment attorney at Romano Law PLLC. On the BUSINESS & CORPORATE side, we work with business owners, companies and entrepreneurs, helping them from the start-up and growth phase all the way to the sale or acquisition of a company (M&A) and everything in between. This breaks down to counseling heavily on corporate structuring (what's the right entity and partnership model), employment, protection of assets, intellectual property and contractual needs. We prepare and negotiate business and commercial CONTRACTS including: client service agreements, license agreements, confidentiality and non-disclosure agreements, non-compete and non-solicitation agreements, website terms of use and privacy policies, distribution agreements, term sheets and deal memos. On the ENTERTAINMENT and MEDIA side, we work with clients in film, television, media, fashion, art, design and literary publishing, with an emphasis on film and TV production counsel. We assist with film financing and all legal aspects of production: development, pre-production, production, post and clearance review for distribution. We prepare and negotiate option purchase agreements, talent agreements, management agreements, production agreements, licenses, publishing contracts, and distribution agreements. We also: - help producers navigate compliance with guilds and unions like the WGA, DGA and SAG-AFTRA. - advise clients on intellectual property matters including trademarks, copyright and trade secrets.
