Roman Darmer

I defend public and private companies, their boards of directors, management and employees in civil, criminal and regulatory matters brought by the U.S. Department of Justice, the Securities and Exchange Commission and other federal and state agencies. I am an experienced trial lawyer and represent companies and executives in shareholder class action and derivative cases and other complex business disputes. As a former federal prosecutor in the Southern District of New York, I led grand jury investigations, tried numerous cases to jury verdict and argued many appeals. In private practice, I have extensive experience conducting internal investigations involving a wide variety of issues, including accounting and disclosure, related party transactions, insider trading, health care fraud and abuse, False Claims Act, Foreign Corrupt Practices Act, and workplace environment. I regularly counsel clients on anti-corruption and FCPA compliance programs and best practices. I am active in the Orange County legal community. I am a member of the board of directors of the Federal Bar Association Orange County Chapter and am president for the 2017 term. I am strongly committed to providing pro bono services to the indigent in our community and maintain an active pro bono practice. In 2017, I received the Daily Journal's Clay Award for my work on a case that successfully invalidated an amendment to the housing element of the City of Huntington Beach that adversely impacted the number of sites available for affordable housing in that community. I am on Jones Day's firm wide Diversity, Inclusion and Advancement and Pro Bono Committees. I also serve on the the board of directors of the Pubic Law Center of Orange County and the Legal Aid Society of Orange County. I previously served on the board of Newport Mesa ProLiteracy, a non-profit organization providing individual tutoring and reading classes to adults in Orange County who lack literacy skills.
