Robert Trodella

I am a business minded lawyer who has spent the last twenty years counseling companies, lenders and investors across a wide range of industries on how to react to, or take advantage of, financial or other business distress, while rounding out that practice by advising lenders and borrowers on front- and back-end loan transactions. I frequently advise on the structuring of complex business transactions to guard against insolvency or other business disruption, and have taken the lead on numerous purchase and sale transactions for buyers and sellers. Recent experience includes advising on the structuring of purchase rights in the equity of a foreign joint venture focused on alternative energy production, representing lenders in numerous loan restructurings, financings, and disputes, representing the borrower in its global loan refinancing, representing individual defendants in a multi-million dollar fraudulent conveyance and breach of contract dispute, representing an investor and lender to a bankrupt solar company, helping structure assignments for the benefit of creditors in the context of buyer side acquisitions, and overseeing the chapter 11 sales of operating plants for a billion-dollar ground beef processor. I regularly lecture on a variety of topics, most recently on syndicated loan transactions for a large financial institution, distressed acquisitions in the health care sector for an annual meeting of health care CFOs, negotiating tips for the California associates of an international law firm, and protecting the supply chain for multi-national technology companies. I am a former member of the California Uniform Commercial Code Committee (now known as The Commercial Transactions Committee), where I helped draft that Committee’s Hidden Liens Report. Prior to law school, I was was an analyst for a middle market M&A firm, and a commercial lender at Union Bank (having graduated from that bank’s one-year commercial lending program).
