I focus my practice on advising businesses on labor and employment matters arising in complex domestic and cross-border mergers, acquisitions, divestitures, and other corporate transactions and restructurings. My experience includes assessing target companies’ employment law compliance and risks, negotiating employee-related provisions in purchase agreements, counseling on labor union considerations, leading workforce transitions and reductions in force, and resolving post-acquisition employment matters. I also counsel clients on sensitive employee issues and separations that arise both during and after transactions, negotiate sophisticated employment-related agreements, manage sensitive executive separations, and advise on non-compete and other restrictive covenant matters in employment, equity, and transaction documents.
