Ralph Winter

I am a corporate and securities partner in the Orange County office of Snell & Wilmer, a full-service business law firm with more than 450 attorneys practicing in 16 locations across the United States and in Mexico. I focus my practice on mergers and acquisitions, venture capital, equity and debt financings, joint ventures, and general corporate matters. I represent investment groups and individuals in sales and investment transactions, as well as businesses with negotiating intellectual property license agreements, distribution agreements, manufacturing agreements, buy-sell agreements, option and compensation agreements, and other business contracts. I represent my clients during all stages of business, beginning with formation, through growth and financing transactions, as well as facilitating acquisitions and sales. I have extensive experience working with companies across a wide range of industries including action sports, apparel, technology, media, software, finance, restaurants, consumer products, food and beverage, retail, and manufacturing. I served previously as president and general counsel for a business management company and affiliated businesses with operations in the food and beverage, real estate, health and fitness, art and design, and investment industries. For over 11 years, I was the managing partner and co-founder of a business, litigation, and employment law firm, where I focused my practice in corporate and securities law. I also served as a corporate and securities partner in the securities and capital markets practice group of a large, international law firm.
