Mims Zabriskie

I counsel large publicly and privately owned businesses and non-profit institutions, including Fortune 500 companies, global companies headquartered outside the U.S., and universities, on a range of legal issues related to executive compensation, governance and employee benefit plans. I work with Compensation Committees on executive compensation governance and incentive compensation design. I work with clients of all sizes in many industries, including technology, financial services, manufacturing, consumer products, and pharmaceuticals. I also advise senior management when negotiating employment agreements and equity compensation, including representing management teams in transactions. I advise on complex executive compensation and employee benefit plan matters, including the design, negotiation, and implementation of executive compensation, equity compensation, and tax–qualified retirement plans and shareholder approval of equity plans. I also advise on benefits and executive compensation issues that arise during major corporate transactions, including mergers and acquisitions, sales, IPOs, and spinoffs.
