With 25+ years of experience spanning Am Law 50 firms and in-house executive leadership, I advise growth-stage and middle-market companies on private equity transactions, equity financings, corporate governance, compliance, M&A, and strategic risk management. I have served as both General Counsel and functional COO, aligning legal strategy with operational execution during high-growth, distressed and transition periods. My background includes leading Chapter 11 restructurings, distressed asset sales, sponsor-backed recapitalizations, founder liquidity transactions and complex commercial negotiations. I regularly support portfolio companies and founder-led businesses as outside General Counsel, providing executive-level legal leadership without full-time overhead. Earlier in my career, I was a partner at Kirkland & Ellis and Of Counsel at Jones Day, representing Fortune 500 companies in nationally significant restructurings and litigation matters. I am admitted in California and work with companies across the U.S. and internationally, including advising Armenian and cross-border businesses scaling globally.
