Jason Taketa

Jason has over 20 years of corporate and M&A experience in large firm, small firm and in-house settings. He began his career in 2002 with Manatt, Phelps & Phillips, LLP as an associate where he had the opportunity to be seconded to the legal department of Mitsui & Co. (U.S.A.) Inc. from 2008 to 2010. In 2011, Manatt elevated Jason to partner and in 2020, Jason moved his practice to Sklar Kirsh. Jason has been buy-side and sell-side counsel in numerous complex M&A transactions involving seller “rollover,” the use of rep and warranty insurance, “F-reorganizations,” and earn outs. Representative M&A deals include: • Sell side counsel in numerous PE deals across industries including agriculture, consumer products, FinTech, digital media, health care and food products. • Sell side counsel in strategic acquisitions by Twitter and Microsoft. • Sell side counsel for Regency Outdoor's sale of its Sunset Strip billboard portfolio to Netflix. • Sell side counsel for Unilever's acquisition of the Kate Somerville brand. • Sell side counsel in CBS's acquisition of a sports information media company. • Buy-side counsel for Concord Music Group's acquisitions of Fantasy Records and Telarc International. • Buy-side counsel for PE roll up acquisitions of independent music venues. • Sell side counsel in Budget Rent-a-Car of Southern California's sale to Avis Budget Group. Jason also structures complex JV, LLC and partnership deals and equity investments, including preferred stock financing, syndications, private placements, SAFEs and convertible debt rounds. Representative matters include: • OutTV's cross border launch of its US streaming platform. • Incentive equity & profit participation plans for VC firms, real estate firms and others. • Partnership disputes and buyouts. • Sponsor and investor counsel for real estate JVs and syndications. • Fund counsel to VC funds, real estate funds and FinTech finance funds. Jason also serves as outside general counsel ("GC"), where he provides guidance on a range of issues including corporate governance, contract negotiation, employment advice and legal risk management. Jason is originally from the Silicon Valley area, but he moved to Los Angeles to attend the University of Southern California (USC) School of Cinema-Television, after which he attended the USC Gould School of Law. Jason now lives in Encino with his family. In his off time, Jason can be found traversing various municipal golf courses in a zig-zag manner, as he continues his quixotic search for par.
