For almost 30 years, I have served as a trusted advisor and ally to companies and entrepreneurs across a broad spectrum of industries. While I have counseled clients on every day-to-day and long-term strategic issue faced by businesses and their owners, my current practice focuses largely on the legal, strategic, and practical landscape of franchising. I represent franchisors and franchisees at all stages of their business lifecycle, leveraging extensive experience drafting franchise disclosure documents and franchise agreements, preparing and filing multi-state registrations, and advising on risk management. I appreciate both the promise and peril of franchising and am committed to helping my clients transform their ideas and investments into thriving and growing concerns. Clients also turn to me when considering or presented with potentially game-changing transactions, including mergers, acquisitions, joint ventures, buy-sell agreements, syndication of equity, and exit strategies. As a former IRS agent and a Certified Public Accountant as well as a seasoned business lawyer, I provide a holistic perspective that thoroughly assesses the dollars and cents implications of a deal as well as its legal ones. As outside general counsel for many of my clients, I also assist businesses with all other legal and operational issues they face, from entity formation and governance to employment matters to succession planning. During my tenure as an IRS revenue agent in its Employee Plans Division, I amassed a wealth of knowledge and insights regarding employee benefit plans and ERISA issues Over the ensuing decades, I worked with clients of all sizes to design and implement qualified and non-qualified deferred compensation arrangements, with an emphasis on 401(k) plans, employee stock ownership plans, and defined benefit plans. My IRS experience also informed my efforts to prevent and resolve issues and concerns raised by the agency and other tax authorities.
