I focus my practice on complex employee benefits matters arising in corporate transactions, including mergers and acquisitions (M&A), spinoffs, divestitures, joint ventures, and restructurings.I counsel clients on transaction-related issues involving qualified retirement plans – such as defined benefit pension plan funding and multiemployer withdrawal liability – as well as health and welfare benefits. My experience includes representing private equity sponsors and strategic buyers in corporate transactions. Drawing on my considerable experience as underwriting counsel for transactional risk insurance, I tailor my approach to each client and advises on heightened risk areas across a range of industries and deal types. I also guide clients through the full lifecycle of insured transactions, including buyout M&A, real estate, and secondaries.
