About Sharon Freilich
I have extensive experience in counseling businesses, professionals, non-profit entities, cities, towns and individuals on a wide range of pension and employee benefit matters. I assist clients with designing, drafting, implementing and administering tax-qualified retirement plans and fringe benefit plans. I have substantial involvement with executive compensation issues and advising employers and executives on compliance with Section 409A of the Internal Revenue Code. I draft non-qualified deferred compensation arrangements, supplemental executive retirement plans, severance plans, change-in-control agreements, and stock-based compensation plans. I regularly represent clients in government audits and inquiries that concern their employee benefits plans including responding to DOL inquiries about participant complaints and IRS notices under the Affordable Care Act for additional Employer Shared Responsibility Payments due. I advise plan sponsors and trustees on their ERISA fiduciary responsibilities. I am actively involved with in the firm’s business transactional practice, working with employers to manage the transition of employees and their benefits during and after a merger or acquisition, as well as ERISA and tax issues arising when investing in and structuring private equity and similar investments. I am also actively involved with the firm’s municipal, school law and labor practices, assisting in labor negotiations concerning the provision of employee benefits. I am a frequent lecturer for the University of Connecticut Income Tax School where I provide an annual update on employee benefit issues.
