About John McGrady,
My practice consists of advising public and private sector employers on a wide range of executive compensation and employee benefit matters, including Section 409A, Section 162(m), Section 280G, equity compensation plans, and performance-based incentive arrangements (stock options, restricted stock, RSUs, PSUs, ISOs), phantom stock plans, nonqualified deferred compensation and supplemental retirement plans, qualified retirement plans, health and welfare plans and VEBAs. I also advise on the tax and ERISA issues arising in connection with corporate acquisitions, divestitures, reorganizations and complex financing transactions, and represent clients before the Internal Revenue Service, Department of Labor and state taxing authorities. Over the years I have represented numerous publicly-traded corporations in connection with a variety of employment and compensation matters, including designing and implementing employment agreements, retirement plans, equity incentive plans, performance-based incentive arrangements, bonus programs, phantom stock plans,severance arrangements, separation plans and voluntary exit incentive programs. I have designed equity incentive arrangments for LLCs and partnerships, including capital interest and profts interests awards. With respect to IRA and qualified retirement distribution planning, I advise individuals, financial institutions and estate planners on developing distribution strategies for tax-favored retirement plans and IRAs. Prior to entering the legal profession, I practiced as a certified public accountant with the accounting firm of Deloitte & Touche in Washington, D.C. I also serve a a monthly contributing author to the Tax Management Compensation Planning Journal. Specialties: Design and implementation of executive compensation arrangements, equity incentive plans, performance-based incentive programs, deferred compensation arrangements, phantom stock plans,employee retention awards and employment agreements, including Section 409A and Section 162(m) issues. Design and implementaion of qualified retirement plans and health and welfare plans, voluntary exit incentive programs, VEBAs and separation and severance programs, including ERISA compliance.
