For nearly 30 years, I have provided legal services (with a corporate development sensibility) to clients of varying sizes and maturity, and in diverse industries, on a wide range of business and transactional matters. My practice spans the entire business lifecycle – from (i) entity formation and early- and later-stage financing, to (ii) commercial contracts and strategic agreements (including alliances and joint ventures), to (iii) M&A activity (acquisitions, divestitures and exit events). I have served as outside and in-house legal counsel (admitted in Nevada and New York) and in corporate development roles (M&A, corporate venture capital and IP asset management), including for a leading technology solutions provider. This required managing executives in multiple locations, negotiating matters ranging from $129B to $10K, overseeing a large VC portfolio of 30+ companies and serving on a dozen boards of directors. This activity allowed me to develop proficiency in various related activities -- including screening and evaluating transaction opportunities, assessing valuations, coordinating communications, public speaking, assessing strategic rationale for transactions and managing cross functional, multi-location (and sometimes international) due diligence, integration and disentanglement teams. I currently serve as Nevada-based legal counsel to clients on matters arising in connection with business formation and expansion, investments, operations, acquisitions and divestitures. For financings, I assist clients primarily with private placements and compliance with related securities laws. I also have extensive experience drafting and negotiating a variety of contracts – from more general business transactions to those entered in connection with strategic alliances and joint ventures.
