About David Roemerman
Currently looking for AGC (assistant general counsel or associate general counsel) roles or senior derivatives counsel roles. I am a financial services attorney who has branched out to run my own firm the last half decade, broadening my base of experience. I have a JD/LLM in Financial Services specializing in ISDA documentation. with the LL.M. triple-focused in Asset Management, Banking, and Capital Markets, concentrated generally on securities, derivatives, compliance, and capital markets. Specifically, I studied ISDA documentation under four Allen & Overy partners, then worked in the field, in house at several major banks/brokerages. I have an expert-level understanding of '92/02 ISDA Master Agreements and have worked on the ancillary documents included with the Master Agreement (Confirmations, CSAs), as well as other trade-governing documentation, including MSLAs, GMSLA, MSFTAs, and MRAs ("repo agreements"). I have negotiated with and/or done compliance work for: prime brokerage clients, banks, financial institutions, hedge funds, mutual funds, ERISA funds, and corporate entities. My LL.M. was jokingly called a "Dodd-Frank degree," and I do have experience not only with the DFA itself, but with the European corollary, EMIR, as well as familiarity with the major regulators in the industry (FINRA, the SEC, the CFTC, FCA, ESAs, ESRB, and ECB, etc.). I have also worked on uncleared swaps margin rules ("UMR") and kept current with the updates switching from LIBOR to SOFR, as well as the new rules in minimum transfer amounts (MTAs). In my private practice, I have done commercial litigation, foreclosure defense, bankruptcy, residential real estate sales ("closings"), advised on business sales, as well as drafting and/or reviewing many commercial contracts, from non-disclosure agreements ("NDAs"), power of attorney ("POA") designations, business incorporation, formation, and governance documents, and other varied commercial contracts. I love being able to have a direct impact on the lives of my clients, but I am considering switching back to something that allows me to spend a greater percentage of my time actively "lawyering," instead of running a business. I have always been a "why guy," meaning I seek to fully understand every aspect of anything I work on, often leading me to become a subject-matter expert ("SME").
