About Dawn Theodora

I joined the California State University as a member of the Office of General Counsel in 2001. I currently serve as the Executive Vice Chancellor and General Counsel (Interim). I supervise and administer the operations of the Office of General Counsel, and oversee all legal services for the 23-university CSU system. I provide guidance and input around strategic decisions on major legal matters, identify trends and legal issues that may impact the CSU, and address legal concerns before the Chancellor's senior staff. I am also the Secretary to the CSU Board of Trustees and help oversee Board processes, including compliance with open meeting laws and ensuring routine good governance practices. I bring a vast amount of experience and expertise to this role. Formerly a business litigator and trial attorney, I served as University Counsel for several CSU campuses, including three years based on campus with Cal Poly San Luis Obispo. I am a past member of the OGC’s Academic and Student Affairs, Human Resources, and Litigation teams. I was Chief Counsel for the OGC's Business & Finance team from 2017 to 2023, managing a team of six attorneys, and most recently served as Associate Vice Chancellor and Deputy General Counsel. My legal expertise ranges across the board, from my work as the previous systemwide Title IX legal specialist to my work as a real estate, land use, and environmental law specialist. I advise the CSU Chancellor's Office and all 23 campuses on a diverse array of matters, including capital planning, design, and construction, CEQA, finance, bonds, treasury, budget, information technology services, contracts and procurement, advancement and fundraising, audit, risk management, financial services, environmental health & safety, employment, labor relations, administrative hearings, litigation, student affairs, academic affairs, compliance, investigations, First Amendment, campus and systemwide training, international study programs, information security, intellectual property, governance, records access, Title IX, and civil rights issues. I provide advice to and collaborate with all levels of university executives, management, and administration, the Attorney General's Office, outside counsel, and other federal, state, and local public agencies. Previously, I served as Litigation Counsel for the 23-campus public university system, trying significant, high-profile cases throughout the state.
